Contributor License Agreement (CLA)
1. General Definition
The Contributor License Agreement (CLA) is a document that defines the legal framework for contributions to open source projects.
This agreement is signed between the contributor or institution and the Serender KKY (ERP) project and clearly defines how contributions can be used, distributed, and modified.
The primary purpose of the CLA is to protect both the project and its contributors from potential intellectual property (IP) or copyright infringement claims. This ensures a transparent, secure, and sustainable open source development process.
2. Benefits of the CLA
🔹 Clarity of Ownership
The contributor declares that the submitted code or content is their own and permits its use in the project. This protects the project from licensing or ownership disputes and creates a traceable history.
🔹 Legal Assurance for the Project
Serender KKY (ERP) protects itself against intellectual property infringement claims from third parties through the CLA.
This assurance is critical for the continuity of the project, especially in large-scale open source projects.
🔹 Protection for Contributors
The CLA also protects the rights of contributing developers. Knowing the conditions under which their contributions will be used provides legal security for individual developers and corporate contributors.
🔹 Standardized and Fast Contribution Process
When all contributors agree to the same CLA terms, the process becomes easier, more streamlined, and more traceable.
This accelerates collaboration, improves development quality, and enables the Serender community to grow with confidence.
3. CLA Implementation in Serender KKY (ERP)
The Serender KKY Community (Ministry of Industry and Technology, Teknosol, 2AG) accepts contributions from both individual developers and corporate stakeholders in line with its open source vision.
These contributions are governed by two different types of CLAs:
- 👤 Individual CLA: This is the version signed by independent developers or individuals contributing on their own behalf.
- 🏢 Corporate CLA: Applies to contributions made on behalf of a company, institution, or organization.
In both cases, contributions are provided "AS-IS" (as is), meaning that their fitness for a particular purpose or their error-free nature are not guaranteed. This approach supports the flexible, collaborative, and responsible working of the open source community.
The Serender KKY (ERP) team evaluates every contribution made under the CLA, integrates them into the project under appropriate licensing terms, and visibly recognizes contributors in the project records.
CLA agreement - corporate (Corporate CLA → If the contribution is made by a company employee, the company must also approve it.)
Serender KKY (ERP) - Corporate Contributor License Agreement (Corporate CLA)
1. Parties
This Contributor License Agreement ("Agreement") is between the Company Contributor and the Project Owner: Serender KKY Community (Ministry of Industry and Technology, Teknosol, 2AG).
The Company may contribute to the Serender KKY (ERP) project through its employees or representatives.
The Agreement shall enter into force on the date the Contributor contributes to the open source project "Serender KKY (ERP)" on GitHub.
2. Definitions
- Contribution:** Any contribution made by the Contributor to the project codebase (source code, documentation, tests, translations, configuration files, data structures, images, etc.).
- Authorized Contributor:** An employee or representative who is permitted to contribute on behalf of the Company.

Project: refers to the Serender KKY (ERP) core software developed by the Serender KKY Community (Ministry of Industry and Technology, Teknosol, 2AG) and released as open source under the LGPL v3.0 license.

Derivative Work: Any modification, extension, or combined software derived from the Contribution or the Project.
3. Institutional Declaration
The Institution:
- declares that the Contributions were made by its employee or authorized representative,
- declares that the Contributions are covered by the Institution's intellectual property rights,
- declares that the Contributions do not infringe on third-party rights.
4. Grant of Rights
The Institution grants the Serender KKY Community (Ministry of Industry and Technology, Teknosol, 2AG) the following irrevocable rights:
- Distribution of Contributions under the LGPL v3.0 license,
- Reuse of Contributions under alternative licenses (e.g., commercial versions),
- Modification, merging, or incorporation of Contributions into other systems.
- It agrees not to claim any royalty or payment for its contributions.
These rights are granted worldwide, perpetual, and royalty-free.
5. Process and Publication of Contributions
- Contributions will be merged after review by the Project Manager (Maintainer) or the core team.
- The Project Owner shall be responsible for the merger of the contributions. It may reject, modify, or postpone all or part of the code.
- If the contribution is accepted, it will be included in the official version of the Project.
- The Contributor cannot claim any rights if their contribution is not accepted.
6. Disclaimer
The Institution acknowledges that the contributions are provided "As Is" "AS-IS" and that Serender KKY Community (Ministry of Industry and Technology, Teknosol, 2AG) is not under any warranty obligation.

(The contributions are provided "AS IS", without warranty of any kind.)
That is:
- The Contributor does not guarantee that this code is flawless, working, secure, or bug-free.**
- The Contribution is provided to the Project as developed ("as is").
- If this contribution subsequently introduces an error, causes a system crash, or causes damage, the contributing individual or institution cannot be held responsible.**
The Institution declares that its contributions to the Serender KKY (ERP) project are not tested, error-free, or provide a specific level of performance.
Neither the Serender KKY Community (Ministry of Industry and Technology, Teknosol, 2AG) nor any third party shall hold the Institution liable for any direct, indirect, incidental, or consequential damages that may arise from the use, integration, or distribution of these contributions.
Similarly, the Serender KKY Community (Ministry of Industry and Technology, Teknosol, 2AG) accepts no warranty or liability for any damages, lost income, or loss of use that may arise as a result of these contributions.
7. Authorization to Contribute
The Institution acknowledges that each contributing employee or representative has acted within the scope of this CLA.
The Serender KKY Community (Ministry of Industry and Technology, Teknosol, 2AG) is not responsible for contributions made by unauthorized individuals.
8. Dispute and Jurisdiction
This agreement is governed by the laws of the Republic of Turkey.
In the event of a dispute, the Istanbul (Anatolian) Courts have jurisdiction.
9. Enforcement
By digitally accepting this agreement before submitting a contribution to the Serender KKY (ERP) project, the institution enters into force all its provisions.

- The right to distribute the Contribution under the LGPL v3.0,
- The right to relicense the Contribution under different licenses (e.g., commercial licenses),
- The right to modify, combine, or incorporate the Contribution into other software,
- The right to use the Contribution worldwide, perpetually, and royalty-free.
The Contributor agrees not to claim any compensation or royalties for their contributions.
5. Contribution Process, Publication
- Contributions will be incorporated after review by the Project Manager (Maintainer) or the core team.
- The Project Owner may reject, modify, or postpone all or part of the contribution.
- If the contribution is accepted, it will be included in the official version of the Project.
- The Contributor cannot claim any rights if their contribution is not accepted.

This agreement covers all current and future contributions of the Contributor.
This CLA does not need to be re-approved when a new contribution is submitted.
8. Dispute and Jurisdiction
This agreement is governed by the laws of the Republic of Turkey. In case of dispute, the Istanbul (Anatolian) Courts shall have jurisdiction.
9. Effective Date
By digitally accepting this agreement before submitting a contribution to the Serender KKY (ERP) project, the contributor enters into force all its provisions.
